1. Acceptance of these Terms

These Terms of Service ("Terms") are a binding agreement between you and PurePack Supply ("PurePack Supply", "we", "us"). They govern your access to and use of purepacksupply.com (the "Site") and any account you create on it. By creating an account, checking the acceptance box, or using the Site, you agree to these Terms. If you do not agree, do not create an account or use the Site.

2. Eligibility

You must be at least 18 years old to create an account. The Site is not directed to children, and we do not knowingly permit anyone under 13 to register. If you create an account on behalf of a business, you represent that you are authorized to accept these Terms on its behalf.

3. Your account and credentials

You agree to provide accurate and complete information when you register and to keep it current. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Do not share your credentials with anyone. Notify us at contacto@purepacksupply.com immediately if you believe your account has been accessed without your authorization. We may suspend or terminate any account at any time, with or without notice, including for violation of these Terms.

4. Pricing is confidential and access is restricted

Prices and product availability on the Site are made available only to registered account holders and are our confidential business information. You agree that you will not:

  • disclose, publish, resell, or otherwise make our pricing available to any third party, including competitors;
  • access the Site using any robot, spider, scraper, crawler, or other automated means;
  • copy, extract, or compile any portion of the catalog or pricing data, whether manually or automatically, for use outside your own purchasing decisions; or
  • create an account using false information or on behalf of a competitor for the purpose of obtaining pricing.

We may revoke access immediately for any violation of this section.

5. Product information and pricing are informational

All product descriptions, specifications, images, unit sizes, and prices shown on the Site are provided for informational purposes only and are subject to change at any time without notice. Product information is supplied in large part by our manufacturers and suppliers; you are responsible for confirming that a product is suitable and compliant for your intended use. We make reasonable efforts to keep the Site accurate, but we do not warrant that any description, price, or availability is complete, current, or error-free, and we reserve the right to correct any error at any time.

6. Quotes are not binding offers

Nothing on the Site is an offer to sell. Prices shown exclude applicable taxes, shipping, handling, and any other fees unless stated otherwise. A quote you request or receive through the Site is an estimate, not a binding offer, and expires 30 days after it is issued. No order is accepted and no contract is formed until we confirm it to you in writing. We may decline or cancel any request for any reason, including pricing or availability errors.

7. Acceptable use

You agree not to use the Site to violate any law; to interfere with, disrupt, probe, or overload the Site or its infrastructure; to attempt to gain unauthorized access to any account, system, or data; to upload malicious code; or to impersonate any person or entity.

8. Intellectual property

The Site and its contents — including text, graphics, logos, layout, and the selection and arrangement of the catalog — are owned by PurePack Supply or its licensors and are protected by United States and international intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access the Site for your own internal purchasing purposes. All other rights are reserved.

9. Third-party links

The Site may link to third-party websites. We do not control and are not responsible for their content, products, or privacy practices.

10. Disclaimer of warranties

THE SITE AND ALL CONTENT, INFORMATION, AND MATERIALS ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, secure, timely, or free of errors or harmful components. You are responsible for maintaining your own backups of any information you submit.

This section applies to the Site itself. It does not limit any warranty that may apply to products you actually purchase from us under a separate agreement or purchase order.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PurePack Supply AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms limits any right you may have that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless PurePack Supply and its owners, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of your use of the Site, your violation of these Terms, or your violation of any law or third-party right.

13. Termination

You may stop using the Site and request deletion of your account at any time by writing to contacto@purepacksupply.com. We may suspend or terminate your access at any time, with or without cause or notice. Sections 4, 8, 10, 11, 12, 16, and 17 survive termination.

14. Changes to these Terms

We may update these Terms. When we do, we will revise the "Effective date" and version above and, for material changes, ask you to accept the updated Terms the next time you log in. Your continued use of the Site after a change takes effect means you accept the updated Terms.

15. Electronic communications

By creating an account, you consent to receive communications from us electronically, including account, security, quote, and legal notices sent to the email address associated with your account. You agree that these electronic communications satisfy any legal requirement that a communication be in writing.

Separately, and only if you gave the optional consent during registration, you agree that we may contact you by phone call or text message about promotions and new products. This consent is not a condition of registration or of any purchase. Message and data rates may apply. You may opt out at any time by replying STOP to a text message or by writing to contacto@purepacksupply.com.

16. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You and PurePack Supply agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and each party consents to the personal jurisdiction of those courts.

17. General

If any provision of these Terms is found unenforceable, that provision will be limited or severed and the remaining provisions will stay in full force. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them freely. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Site.
